Terms of Business

These terms apply to the use of this website and to advisory services provided by Black Phoenix Strategies Ltd, a company registered in England and Wales under number 16768762, registered office 128 City Road, London EC1V 2NX, United Kingdom (“the practice”, “I”). Where a separate written engagement agreement is signed, that agreement takes precedence over these terms.

1 · The nature of the service

The practice provides independent strategic and analytical advisory work: business recovery and crisis intervention, decision logic and related advisory support. Strategic and analytical advisory. Not therapy, coaching, legal, financial or investment advice. I do not raise capital, broker deals or provide regulated real-estate services.

Advice is based on the information made available during an engagement. It is not an audit, a due diligence exercise or a verification of the facts and figures provided, unless that is expressly agreed in writing.

2 · Your decisions remain yours

The purpose of the work is to make a situation clear enough for you to decide. You remain responsible for your own decisions and for obtaining legal, tax, regulatory, financial or technical advice from appropriately qualified professionals where the situation requires it. No specific outcome, result or return is promised or guaranteed.

3 · Inquiries and engagement

Sending an inquiry does not create a contract. A contract arises only when a first step has been proposed in writing, accepted by you and paid for. There is no free discovery call; the review of a situation is itself part of the work.

4 · Fees and payment

The Decision Session has a fixed fee, payable in advance through a payment link. Other work is quoted in writing from the agreed scope before it begins. Services are contracted with and invoiced by the UK company named above, and payment is made to it. Fees are stated in pounds sterling and are exclusive of any taxes that may apply. Where local taxes, currency conversion or bank charges apply, they are your responsibility.

5 · Rescheduling and cancellation

• A session may be rescheduled once, free of charge, with at least 24 hours’ notice.
• Cancellation with more than 24 hours’ notice is refunded in full.
• Cancellation with less than 24 hours’ notice, or non-attendance, is not refundable, because the time has been reserved and the preparation has been done.
• If I have to reschedule, you may choose a new time or a full refund.

If you are a consumer rather than a business client, you normally have a 14-day right to cancel a contract made at a distance. Where you ask for the work to begin within that period, that right ends once the service has been fully performed, and a proportionate charge applies for work already carried out.

6 · Delivery

The Decision Session lasts 90 minutes. The written Decision Logic Snapshot is delivered within 48 hours of the session, excluding weekends and public holidays.

7 · Confidentiality

Information you share is treated as confidential and is not disclosed to third parties except where required by law. Client situations are never published or used as examples without your written permission. Case material shown on this website is simulated or anonymised and approved. Equally, the documents and materials I provide to you are for your own use and should not be circulated outside your business without permission.

8 · Intellectual property

You own the written outputs prepared for you and may use them freely within your business. The underlying methodologies, frameworks and materials — including Human Braining™ and Decision Architecture — and all content on this website, including articles, reports and publications, remain my intellectual property.

9 · Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, total liability in connection with an engagement is limited to the fees paid for that engagement, and there is no liability for indirect or consequential loss, loss of profit, loss of business or loss of opportunity.

10 · Use of this website

Articles, reports and other content on this site are published for general interest. They are not advice for any particular situation and should not be relied on as such. The site is provided as it is, and no guarantee is given that it will always be available or error free.

11 · Data protection

Personal data is handled as described in the Privacy Policy.

12 · Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
